Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (and the organization you represent) and Vegan Oji Inc. (trading as Oji Digital) (“InboxOji”, “we”, “us”) governing your use of the InboxOji websites, applications, and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

InboxOji is an AI assistant that detects relevant emails in a mailbox you connect and generates draft replies based on rules, cases, and a writing voice you configure. By default, InboxOji creates drafts for your review; it sends email automatically only for specific rules you have tested and explicitly enabled for auto-send.

2. Accounts & eligibility

• You must be at least 16 years old and able to form a binding contract. If you use the Service for an organization, you represent that you are authorized to bind it.
• You are responsible for your account, for keeping your credentials secure (we strongly recommend enabling two-factor authentication), and for all activity under your account.
• You must provide accurate information and keep it up to date.

3. Plans, billing & cancellation

• Plans: InboxOji offers Starter, Pro, and Enterprise plans with different limits and features. Enterprise is offered by quote.
• Billing: paid plans are billed in advance on a recurring (monthly or annual) basis through our payment processor, Stripe. By subscribing, you authorize recurring charges until you cancel.
• Taxes: fees are exclusive of taxes; you are responsible for applicable taxes, which may be added at checkout.
• Cancellation: you may cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and we do not provide prorated refunds for partial periods.
• Changes: we may change prices or plan features with reasonable advance notice; changes apply to subsequent billing periods.

4. Acceptable use

You agree not to:

• Use the Service to send spam, phishing, unlawful, deceptive, harassing, or infringing content;
• Violate the rights of others or any applicable law, including email, privacy, and anti-spam laws (e.g. CAN-SPAM, GDPR, Japan’s Act on Specified Commercial Transactions);
• Attempt to breach security, access data that isn’t yours, reverse engineer, scrape, or overload the Service;
• Use the Service to build a competing product, or resell it without authorization;
• Misuse AI outputs to deceive recipients about authorship in a manner that is unlawful.

You are solely responsible for the emails you send, including any drafts you choose to send after review or via auto-send.

5. Your content & data; Google data

You retain all rights to your content — your rules, templates, mailbox data, and the drafts generated for you. You grant InboxOji a limited license to access and process this content only to provide and maintain the Service for you, as described in the Privacy Policy. Our access to and use of data from Google APIs complies with the Google API Services User Data Policy, including its Limited Use requirements. You may disconnect a mailbox or delete your data at any time.

7. Third-party services

The Service integrates third parties including Google (Gmail), Stripe, and AI providers. Your use of those services is also governed by their terms, and we are not responsible for their acts or omissions. We may add, change, or remove integrations.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by Vegan Oji Inc. and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You may not use our marks without permission. Feedback you provide may be used by us without obligation.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, or error-free, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, InboxOji and Vegan Oji Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or relating to the Service. Our total aggregate liability for any claim will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim (or, if you are on a free tier, US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Vegan Oji Inc. from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your emails, or your breach of these Terms or applicable law.

12. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or create risk or legal exposure for us or others. Upon termination, your right to use the Service ends; sections that by their nature should survive (e.g. IP, disclaimers, liability, indemnity) will survive.

13. Governing law & disputes

These Terms are governed by the laws of Japan, without regard to conflict-of-laws rules, and the courts of Tokyo, Japan will have exclusive jurisdiction, except where applicable mandatory consumer law in your country of residence provides otherwise. Nothing limits non-waivable statutory rights you may have.

14. Changes to these Terms

We may update these Terms as the Service evolves or the law requires. We will post the updated version with a new “Last updated” date and, for material changes, provide additional notice. Continued use after an update constitutes acceptance.
